EVP Chief Legal Officer Duties: Provides legal advice on an as needed basis to top Management Officers, other Managers, Physicians and direct patient care personnel. Reviews changing laws and regulations for impact on BSWH businesses and informs those affected by the changes. Reviews, drafts and approves contracts of all types, including Physician contracts. Defends general liability and professional liability claims and lawsuits individually and with outside trial counsel as part of the BSWH’s self-insurance program. Manages all claims and lawsuits for Church University Insurance Company, Ltd. Manages claims against the resident Physicians for whom Baylor University Medical Center (BUMC) has agreed to provide limited indemnity against malpractice claims. Recommends quality assurance measures to Chief Executive and other Operating Officers and Line Managers of patient care. Counsels Chief Executive Officer, Chief Operating Officers and Medical Staff Officers on Medical Staff law including physician due process hearings. Drafts Medical Staff bylaws, rules and regulations. Manages litigation related to Medical Staff membership and clinical privileges. Counsels Managers and Human Resource Department staff members on labor law and manages litigation involving alleged employee discrimination and wrongful discharge. Manages patient and visitor allegations of discrimination. Counsels Business Office Managers and participates in collection of certain accounts receivable on a highly selective basis. Participates in Hospital acquisitions by drafting and negotiating acquisition agreements, incorporating new corporations, obtaining tax-exemption for new corporations and reviewing acquired Hospitals’ legal documents. Drafts informed consent documents and advises Nursing Staff and Physicians on informed consent questions. Provides in-service quality assurance presentations to Nursing personnel, Physicians and other direct caregivers. Reviews and approves marketing material prior to media presentation. Reviews and drafts real estate instruments including leases for professional office buildings. Advises Office Building Managers on landlord-tenant matters and general liability claims. Reviews and makes suggestions regarding departmental policies and procedures concerning patient care. Advises Medical Record Department Managers about issues concerning confidentiality and release of patient medical records. Reviews regulations of and contracts with third-party payers including Medicare, Medicaid, preferred provider organizations and health maintenance organizations.
Qualification and Experience
Qualifications: Bachelor’s Degree. Should have JD Degree. 8+ years' experience.
