We want to add another strong corporate attorney to our team. Excellent contract drafting and negotiating skills and experience are essential for our new team member. Experience in one or more of the following industries of our clients is very helpful: healthcare IT, life sciences, medical devices, software, and financial technology. Qualified attorneys who are creative, thorough, motivated, good communicators, and team-players are encouraged to apply. Responsibilities for our new team member will likely include the following: Prepare, negotiate, and edit asset purchase, stock purchase, and ancillary agreements in connection with the sale of a company Maintain working knowledge of market terms in small and middle market M&A Maintain working knowledge of tax, intellectual property, employment, privacy, and related matters that arise in M&A Advise companies regarding corporate governance and fiduciary duty related matters Prepare, review, and edit company sale waterfall spreadsheets Prepare shareholder agreements, employment and consulting agreements, equity grant agreements, and noncompetition, confidentiality and invention assignment agreements Prepare and negotiate Series AA through Series D investment-related agreements Maintain working knowledge of Regulation D and market terms in angel and venture capital transactions Prepare, negotiate, and edit distribution, manufacturing, and supply agreements Prepare background memos, articles, and blog posts on issues faced by emerging companies Develop content for automated forms and systems Attract and maintain great relationships with emerging company clients Maintain a basic understanding of HSR requirements, patent prosecution and enforcement, employment laws, and FDA approval processes for medical devices and therapeutics Build strong relationships in the technology company community in the upper Midwest Qualified individuals interested in full-time, part-time, and flexible time arrangements are encouraged to apply by clicking "Apply Now".
