ProfilePrincipal Contract Administrator Duties: Structuring, negotiating and drafting sales, distribution, product placement, service, settlement, consulting, master services, master purchase, and other types of commercial agreements. Representing and supporting internal sales clients in contract negotiations with customer counsel and customer business leadership. Advising Corporate Sales/Divisional partners on various legal and compliance issues, including Anti-Kickback and related Safe Harbors, anti-trust, and Physician Payments Sunshine Act. Advising Corporate Sales/Divisional partners regarding the formation/efficacy of various product, sampling, evaluation, placement, and other discount programs and arrangements requested by customers or initiated by Corporate Sales/Divisional partners. Advising on potential obligations regarding privacy (i.e. HIPAA/HITECH). Advising Corporate Sales/Divisional partners on various legal and contractual provisions within a wide assortment of commercial purchase contracts and other contractual customer arrangements (e.g. confidentiality, indemnification, limitation of liability, warranty, recall, discount reporting requirements, software licensing, etc.). Partnering with internal business clients to ensure agreements are consistent with corporate policies and processes, as well as the desired business arrangement. Advising on VA and DOD contracting. Keeping current on relevant legislative issues, statutes, decisions, and regulations. Training members of Corporate Sales/Divisional partners on legal/compliance matters. Establishing and supporting a work environment of continuous improvement that supports Quality Policy.
Qualification and Experience
Qualifications: JD Degree. 4+ years combined experience in a law firm or in-house legal department, with significant experience structuring, drafting and negotiating complex commercial agreements. Deep understanding of contract law and legal concepts, including their practical application in a business environment. Ability to summarize and communicate legal concepts in a clear and concise manner. Ability to communicative effectively with a broad audience, and at all levels of the organization. Ability to manage and prioritize a high volume workload in a fast-paced working environment. Detail-oriented and able to independently meet deadlines.
