Corporate Paralegal The candidate work in a high-caliber, collegial department with other dedicated legal professionals on a variety of matters related to corporate governance. Perform and support continuous maintenance of company legal entities (U.S. parent entity and subsidiaries globally). Prepare and manage parent and subsidiary board/shareholder actions, powers of attorney, formation/dissolution documentation, cash movements, annual reports, certifications, transactional documentation, confidentiality agreements and other similar documents. Manage and administer entity management database. Manage relationship with subsidiary management vendors, including registered agent, database/entity management coordinator, and entity database software vendor. Support Corporate Secretary, International, M&A, Finance and Tax teams regarding company organizational and corporate governance matters. Research and support activities for publicly-traded parent corporation, including various NYSE and SEC filings, drafting corporate minutes, proxy preparation, peer benchmarking, and support for electronic board portal.

Qualification and Experience

The candidate should have Bachelor’s degree in Paralegal Studies or Legal Studies or a Bachelor’s Degree and a Paralegal Certificate from an ABA-accredited program. Should have 2-6 years’ experience to join the Law Department’s Corporate Secretary team.
