A law firm seeks a skilled Emerging Companies and Venture Capital (ECVC) Attorney to join its Business Practice Group in Spokane, WA. This role offers the attorney a platform to support and grow a diverse range of business and corporate clients, providing close, day-to-day guidance on matters such as capital raises, corporate governance, and sophisticated transactions across multiple industries.

Duties

  • Serve as a primary advisor to business clients, delivering guidance on corporate governance and regulatory compliance.
  • Lead and oversee capital raising transactions, including private offerings, equity financing, and debt structures from angel investors, venture funds, syndicates, and traditional lenders.
  • Facilitate complex transactions across various sectors, working alongside other attorneys across multiple office locations.
  • Advise on a range of corporate matters, including securities, capital markets, M&A, and public company issues.
  • Develop and nurture client relationships by offering high-quality, proactive legal support.
  • Participate in the firm’s social impact by contributing to pro bono and public service initiatives.

Requirements

  • Experience: Minimum of 7 years representing early-stage brands in capital raise transactions, including private offerings and funding from varied investor types. Additional experience in public company matters, capital markets, and M&A is advantageous.
  • Book of Business: A partial portable client base is required.
  • Academic Credentials: JD from an ABA-accredited law school with strong academic performance.
  • Licensing: Active law license.
  • Skills: Exceptional analytical, writing, and client-service skills, with a dedication to excellent communication.
  • Project Management: Able to handle significant responsibilities independently and collaboratively within a diverse team.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • In-depth knowledge of corporate governance, venture capital transactions, and securities regulations.
  • Expertise in advising on capital raise transactions and investor negotiations.
  • Strong organizational and project management abilities, with high attention to detail.
  • Proficient in drafting and negotiating transactional and investment documentation.
  • Excellent communicator capable of managing complex client relationships.
