Associate General Counsel - Healthcare Regulatory & Transitional Responsibilities: Analyze, interpret, and provide advice on new and amended federal and state laws, regulations, and guidance applicable to the administration of self-funded and fully-insured health plans, including ACA, COBRA, DOL, ERISA, HIPAA, IRS, state mandates, etc. Timely respond to requests for legal advice and proactively identify potential legal issues; conduct related research and analysis, collaborate with General Counsel on compliance options, and clearly communicate advice, and compliance recommendations. Lead or participate in development and maintenance of department-specific and/or multi-department company policies and procedures to aggressively drive scale and efficiency. Participate in committees and workgroups, such as Solutions, Appeals & Grievances, Coverage Review, Clinical, etc., as assigned. Support the Legal & Compliance team’s involvement in appeals and grievances committees, policy creation and review, and member responses. Participate in product development, implementation, and ongoing management. Review externally-facing marketing materials and provide guidance on communication standards and communication campaigns. Create and/or maintain templates for required member communication materials, including Summary Plan Descriptions, Summary of Benefits and Coverage, and other required notices; assist in drafting client-specific materials. Investigate, recommend, implement, document and/or monitor any applicable compliance deficiencies, corrective action plans, and program improvements. Support the General Counsel and the Legal team’s management and response to litigation, and to governing authority inquiries, audits, and investigations. Draft and negotiate contracts in support of internally-facing business needs and/or externally-facing sales support, which may include without limitation and dependent on experience: non-disclosure agreements, consulting agreements, broker agreements, services agreements, customer agreements, data sharing agreements, administrative services agreements, business associate agreements, etc.. Interact and collaborate extensively with internal stakeholders, and as necessary external partners, to drive contract management excellence and maintain positive relationships supporting business goals and objectives. Perform special projects as defined by Leader.
Qualification and Experience
Requirements: JD Degree and active attorney license in at least one jurisdiction, preferably Minnesota. Prior experience working in a law firm or as an in-house attorney in the health care industry, with an understanding of health care benefits coverage, required; experience supporting a fully-insured medical product, preferred. In-depth knowledge of laws and regulations applicable to an ERISA or non-ERISA self-funded plan and/or a fully-insured carrier and policy; in-depth knowledge of federal and state privacy laws and regulations, preferred. Experience with regulatory agencies and administrative experience with state insurance regulations, preferred. Contract negotiation, including contract template creation and maintenance, of administrative services agreements, business associate agreements, and security terms, preferred. Diligent, organized, and good-humored professional who is comfortable adapting to shifts in business objectives and priorities. Ability to manage multiple tasks and priorities in a highly dynamic environment, strong problem-solving skills, and exceptional attention to detail. Demonstrated ability to drive issues to resolution, think creatively, work independently while simultaneously communicating project status. Strong analytical skills with an ability to identify and concisely define problems, collect data/information, establish facts, take direction, and draw valid conclusions. Ability to build and maintain rapport with superiors, peers, subordinates, and external company contacts. Excellent verbal and written communication skills. Strong organizational and time management skills. Must possess a high degree of professionalism and business ethics. Preferred Qualifications: Health insurance industry experience.
