Corporate Paralegal
Responsibilities: Manages corporate governance and subsidiary management, including preparation and filing of entity formations, dissolutions, resolutions, annual reports, appointments, powers of attorney, and other statutory filings or subsidiary documents. With respect to foreign subsidiaries, maintains relationship with subsidiary leaders and coordinates with outside counsel regarding the same. Manages, populates, and keeps current the global subsidiary hard-copy and electronic records (including org charts) up-to-date and complete, and prepares reports and records as requested (by internal sources, auditors, etc.). Prepares Section 16 filings and manages all related records. Coordinates filings with executive compensation department. Assists with the preparation and filing of SEC documents, including annual, quarterly, and current reports, proxy statements, and registration statements, including assistance with gathering factual support, exhibits, and required signatures. Coordinates and prepares materials for board of directors meetings, including agendas, resolutions, formation of minutes, and other documentation as requested. Coordinates and prepares materials for annual shareholder meetings, including agenda, scripts, ballots, and documentation for engagement of inspector of elections. Coordinates and assembles meeting material books and uploads onto the board of directors online portal. Manages, populates, and keeps current the directors online portal. Coordinates to maintain accurate and current officer, director, and corporate governance information on the company‘s website. Prepares and maintains director and officer questionnaires and related party transaction information. Assists with director onboarding Assists with the compliance of corporate policies, including insider trading policy and pre-clearance approvals, and maintains appropriate records. Assists with M&A in the preparation of due diligence and closing materials, assists with the integration of newly acquired entities, and prepares related corporate file Provides information to and coordinates with other departments including Tax, Finance, Government Relations, and HR as requested. Conducts peer and market research on a number of governance-related matters. Acts as a liaison with outside counsel, and between the legal department and corporate secretary’s office and other functions/departments at Spirit. Supports special projects as needed, including research, organization, and project management.

Qualification and Experience

Qualifications: Bachelor’s degree from an accredited institution and/or paralegal certificate. 6-9 years’ experience consisting of law firm and/or in-house experience. Must have substantive experience with Section 16 filings, entity management, and corporate governance. Excellent judgment and work ethic; strong analytical and problem-resolution skills; meticulous, thorough, and detail-oriented, taking real pride in ensuring nothing is missed; team player, but can work independently; and high level of professionalism and utmost discretion in handling highly sensitive and confidential matters. Ability to manage several simultaneous projects under deadline pressure. Ability to manage duties and additional projects assigned within specified timeframes with little to no supervision. Excellent written, oral, and interpersonal skills, and the ability to communicate effectively, both verbally and in writing, with employees at all levels of the company. Proficient with Microsoft Office products (most specifically Word, Power Point, and Excel).
