A law firm located in Grand Rapids, MI, is seeking a Corporate Attorney with 3-6 years of experience in buy-side and sell-side mergers, acquisitions, and dispositions, as well as private and public securities law matters. The ideal candidate will possess broad transactional experience and a commitment to delivering high-quality work while developing strong client relationships.

 

Job Overview:

The Corporate Attorney will assist members in representing clients in general corporate matters, including drafting and negotiating purchase agreements, advising on securities law compliance, negotiating investment transactions, and drafting core company governance documents. This role requires effective communication skills, a dedication to client service, and a willingness to stay informed about developments in corporate law.

 

Duties:

  • Draft and negotiate purchase agreements and related documents
  • Advise clients on securities law compliance matters
  • Negotiate investment transactions on behalf of companies and investors
  • Draft core company governance documents related to client operations and material transactions
  • Communicate in a highly responsive manner and deliver high-quality work product
  • Effectively communicate with all levels of the firm and with firm clients
  • Develop and nurture strong client relationships at all levels of client organizations
  • Stay informed about cutting-edge developments in relevant areas of law

 

Requirements:

  • 3-6 years of experience as a transactional attorney in a broad corporate practice of a large or mid-
  • sized law firm
  • . degree from an ABA-accredited institution
  • Licensed attorney in good standing in Illinois, Michigan, California, or Texas; remote work candidates are also welcome
  • Ability to manage multiple tasks and meet deadlines under significant time constraints
  • Willingness to assist with training junior associates and support staff

 

Education:

Juris doctorate from an ABA-accredited institution

 

Certifications:

Licensed attorney in Illinois, Michigan, California, or Texas

 

Skills:

  • Broad transactional experience, including mergers, acquisitions, securities law matters, entity formations, and financing transactions
  • Strong negotiation and drafting skills
  • Excellent communication skills, both written and verbal
  • Client-focused approach to legal practice
  • Ability to work collaboratively within a team environment
