Corporate Counsel, Clinical Research Site and Vendor Contracts The candidate will focus on drafting, reviewing, and negotiating clinical research site contracts and additional vendor contracts related to the clinical studies. Oversees and participates in various aspects of business, legal, and regulatory issues. Drafting, reviewing, and negotiating contracts, handling corporate and compliance matters, and otherwise assisting with the needs of the company as directed by the Associate General Counsel, and/or General Counsel. Draft, review, and negotiate contracts for the company with customers, vendors, and subcontractors. Draft, review, negotiate, and manage contracts relating to clinical trials with trial sites. Evaluate legal terms and business risks in contracts. Advise on corporate matters relating to certain legal specialty areas (e.g., Human Resources, intellectual property, corporate governance, mergers and acquisitions, financing, compliance, etc.) as requested. Conduct legal research. Develop, update, implement, and administer templates and contract processes. Work with outside counsel subject matter experts. Perform other tasks as directed by the Associate General Counsel and/or General Counsel. Provide direction to managers, attorneys, and support staff as directed by Associate General Counsel and/or General Counsel. Must have Graduate of top-tier United States law school and appropriate State Bar admissions. Excellent academic credentials is required. Should have 2 years of legal experience as an admitted lawyer in a law firm, as a government lawyer, and/or in-house. Strong contract drafting and negotiation skills is required. Knowledge of the law in a wide range of legal specialty areas and jurisdictions is needed. Excellent research skills is must.
