Paralegal Responsibilities: Assist in the preparation of integral corporate documents/materials including: documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings. Assist with the preparation and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditorsâ€™ requests for information. Work directly with lawyers to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with the Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Assist Real Estate Attorneys with the review of ALTA surveys, title reports and underlying exception documents, third party reports, escrow instructions, legal descriptions, vesting deeds, tax, tract and parcel maps, and title policies and endorsement requirements; resolve issues, if any. Perform due diligence production and/or review. Prepare summaries of critical dates and lease abstracts. Maintain diligence checklists. Coordinate closings on loan financing, acquisition/disposition and leasing transactions. Prepare and/or review transactional documents. Oversee completion of transaction closing binders for clients.
Qualification and Experience
Requirements: Paralegal associates degree or other relevant certification. 5-10 year Transactional paralegal to assist in all stages of corporate/real estate transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities. Proven working experience as a transactional paralegal. Highly organized with ability to juggle multiple deadlines in a fast-paced environment. Strong writing and communication skills along with attention to detail. Extensive computer and database expertise. Able to work in a collaborative environment.
