Transactional Paralegal
Duties: Reporting to the SVP and General Counsel, the Transaction Paralegal and Legal Department Administrator is responsible for board and subsidiary governance including legal and compliance department administration. Accountability for subpoena and discovery response. Transactional and contractional support, this role requires a hands-on approach and creative problem solving. Management of Publicly-Company Board Governance and Subsidiary Governance. Own annual Board and committee governance calendar; assist General Counsel with creating materials for quarterly Board meetings; own and maintain Board and committee minute books; own and maintain minute books and governance actions of certain holding company subsidiaries. Management of Legal Entity Licensing and Registration. Own nationwide registration and licensing requirements for Marlin entities; manage and file corporate annual reports and supporting documents. Function as Legal & Compliance Department Administrator. Assist General Counsel with department budget and expense tracking; manage invoicing and expense reimbursement; own department accrual processes; own department vendor relationships; create and own enhanced electronic library and cataloging system for department materials, documents and contracts. Transactional and Contractual Support. Assist Corporate Attorney with customer contract change requests; draft demand and other legal letters; assist with other contract management matters. Subpoena and Discovery Response. Own process of responding to subpoena and discovery requests and gathering related documentation and information. Administrative Ownership of Certain Management Committees. Own calendars, agendas, governance processes and minutes for certain management committees owned by the Legal & Compliance Department.

Qualification and Experience

Qualifications: Bachelor’s Degree required. 10+ years’ experience in administrative work in a legal environment. Paralegal experience required. Public company experience a plus. Able to work individually with legal team and inside stakeholders. Excellent written and verbal communication skills. Exceptional technology skills, specifically Microsoft Office (word, Excel, Powerpoint, Teams). Strong prioritization and execution skills. Strong attention to detail a must. Ability to draft demand and other legal letters.
