Paralegal Candidate will work closely with attorneys, other paralegals, and clients in a team environment to assist in rendering exceptional client service. Clients include emerging companies, closely held private companies, private equity funds, venture capital funds, public companies, and financial institutions. We provide finance, transaction, and counseling services for businesses ranging in size from start-ups to Fortune 50 companies. Will assist attorneys with a full spectrum of company maintenance and transactional needs as well as frequent client contact. Responsibilities include drafting documents for formation of corporate and non-corporate entities, board and stockholder actions, maintenance of entity records, including stock records, option plan administration, and state and federal securities compliance. Transactional responsibilities include due diligence, management of data sites, drafting of transaction documents and managing closings for financings and M&A for private companies.

Qualification and Experience

Qualifications: 4-year degree (or equivalent experience) and 5+ years of recent and relevant experience in the business practice group of a law firm or in-house legal department dealing with business transactions. Ability to work independently, efficiently and accurately in a fast-paced environment with superb attention to detail. Excellent oral and written communication skills and ability to communicate effectively with all levels of firm personnel and clients. Must have demonstrated analytical ability and ability to set priorities and exercise independent judgment. Working knowledge of equity management software products, including CapMx, Corporate Focus and eShares, and MS Office applications including Outlook, Word and Excel and Adobe Acrobat. Familiarity with tools for electronic document signature preferred. Ability to handle multiple assignments, work well under pressure, and have the flexibility to meet client demands on accelerated schedules.

I would like to see our current management team revised with possibly some new replacements to be available to take care of issues that arise in the office.

Pros : The work environment is excellent as everyone is very helpful and experienced. The benefits are awesome as well and everyone really cares about their clients.
Cons : I have found the firm to be somewhat slow in terms of how quickly they resolve issues that are occurring around the office. I have found this to be mostly related to our current management team though.
