Profile

Corporate Counsel and Contract Administrator
The candidate will be leading corporate strategic and tactical legal initiatives. Will provide senior management with effective advice on company strategies and their implementation, manage the legal function, obtain, oversee and limit the work of outside counsel. Directly involved in complex business transactions in negotiating critical contracts and protecting intellectual property. Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Review all contracts and agreements binding the company. Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Research case law and use of online law review services. Assume ultimate responsibility for ensuring that University Loft Company conducts its business in compliance with applicable Federal, State and overseas laws and regulations. Provide expert guidance on government FAR regulations and oversight on the GSA government business. Structure and manage the company’s internal legal function and GSA staff. Selection, retention, management and evaluation of all outside counsel when required. Advice on legal aspects of the company’s financing. Including assessing and advising on current and future business structures and legal entities. Responsible for the review, generation and management of all contracts and proposals. Manage all Federal schedule contracts for ongoing requirements, compliance to terms and conditions, contract modifications (pricing changes, small business subcontractor plans, GSA contract, GSA SIP, general contractor, and commercial contracts, etc). Oversee development and/or completion of all contracts, Non-disclosure Agreements (NDA) teaming and subcontract agreements. Facilitate gaining proper approvals to ensure compliance with all established processes and policies. Review all GSA RFQ’s and sales. Compute and initiate payment of the quarterly Industrial Funding Fee for all GSA multiple award schedule contracts. Report product sales by SIN and ensure this information is consistent with GSA quarterly reports. Act as the primary interface on all GSA audit efforts, including both pre- and post-award audits. Ensure audits are concluded successfully to preserve Company’s legal entitlements and protect from any monetary penalties. Review Statements of Work (SOW) for applicable agreements, as required. Create and manage necessary databases and processes for tracking all contracts. Maintain vendor information and certifications and respond to bidder’s list requests for information for city, state, commercial, and government organizations.

Qualification and Experience

The candidate should have Law Degree. Must be admitted to practice. Must have 5+ years of experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position as a trusted advisor. Broad, overview experience in intellectual property law including patent law, licensing of IP rights, and IP due diligence is required. Exposure to and/or familiarity with the following areas of law: securities, employment practices, antitrust, computer law, government contracting and privacy is needed. Experience working on matters of corporate governance and with an owner and / or board of directors is required. Experience managing other attorneys and supervising support staff in a corporation would be beneficial as well as experience with cost effective management of outside legal resources is essential. Experience working with Government contracts and FAR regulations. Filing protest, Freedom of Information Act requests and contract cancellation claims is highly desirable. Relevant experience and the ability to work in a fast pace environment would be required. The ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates is required. Must have in-depth knowledge of the GSA Multiple Award Schedule Program rules and regulations. Excellent analytical and problem solving skills in the federal and state government contracting environment is required. Must have working knowledge of the FAR, DFARS, and other government acquisition regulations. Must have knowledge and experience in proposing, negotiating, modifying, administering and reporting GSA Schedule and Federal contracts. Familiarity and understanding of good business practices and legislation and related estate planning guidelines will be critical. Experience in directing strategy and managing complex IP litigation cases and employment practices is also a must.
