Senior Counsel The candidate will assist with and advise on corporate transactions, including mergers, acquisitions, and disposition and help to support the corporate development, treasury and tax teams. Will structure transactions including working with tax team. Draft and negotiate documentation for mergers, acquisitions, dispositions and dissolutions of corporations, partnerships and/or limited liability companies. Perform and coordinating legal due diligence. Work with outside counsel, advisors and internal teams on various aspects of corporate transactions. Assist with and advise on public and private financings and the capital markets and provide legal support to the treasury team. Negotiate, draft and review a broad range of commercial contracts, including merchandising and marketing contracts, and procurement and service agreements. Analyze and advise on contract interpretation, breach issues, disputes, terminations and remedies. Oversee the creation and modification of standard form documents and the establishment of corporate standards for incorporation in standard form documents. Perform complex fact gathering and legal research with minimal supervision, and oversee other associates performing these tasks. Independently organize and supervise projects requiring high degree of confidentiality and supervisory skills, work closely with clients to develop results-oriented strategies, and monitor, analyze and compile results. Work with and monitor outside counsel. Independently formulate, draft, implement and ensure compliance with internal policies and procedures. Lead others to obtain desired legal outcomes in partnership with all levels in the business. Coordinate with other departments within Legal when the matter involves potential litigation, labor/employment, securities, real estate or other issues. Must have JD degree with superior academic credentials from a nationally-recognized law school. Must have Membership in appropriate state Bar and in-house counsel status if necessary. Experience with legal issues related to mergers, acquisitions and divestitures is required. Experience with legal issues regarding public and private financings is preferred. Experience and knowledge of complex contracts is required. Knowledge of intellectual property and/or information technology a plus. Should possess excellent communication skills, both verbal and written. Outstanding interpersonal skills to effectively establish and maintain effective business relationships at all levels of the company and in the legal community. Experience working with corporate senior management is preferred. Advanced technical and legal research skills, with the ability to exercise self-direction and initiative, and make decisions and resolve problems in a timely manner is needed. Should have 6+ years of experience required, 8+ years of preferred, as a lawyer in a well-respected law firm and/or in the legal department of a public or private company. Thorough knowledge of relevant subject matter is required.
