Duties and Responsibilities:
- Provide legal counsel on public company reporting obligations, ensuring compliance with SEC regulations and corporate governance standards.
- Advise clients on public and private securities offerings, including equity and debt transactions.
- Draft, review, and negotiate key legal documents such as registration statements, offering memoranda, prospectuses, and underwriting agreements.
- Lead and manage due diligence processes for capital markets transactions, coordinating with specialists and ensuring thorough review.
- Monitor and interpret changes in securities laws and regulations, advising clients on necessary compliance measures.
