In House Counsel - Corporate Duties: Provide advice, counsel, and legal support regarding a wide range of legal matters. Review, draft, and negotiate various contracts and transactional documents, including without limitation, the following: Master service agreements, professional service contracts, and other vendor contracts. Construction agreements. IT/Software agreements. Confidentiality agreements. Connection Agreements / routine commercial agreements. Insurance policy property and casualty, pollution and indemnities. Easements, rights of way, real property leases, access agreements, and local franchise agreements. Provide legal counsel with respect to regulatory requirements, including BSEE, BOEM, the California Public Utilities Commission, the Louisiana Public Utilities Commission, PHMSA, and FERC.
Qualification and Experience
Requirements: Bachelor’s Degree and JD Degree from an ABA accredited school and licensed to practice law for 3+ years in one or more states (California desired). 5+ years of U.S. legal practice with experience in oil pipeline matters. Proven experience working with multiple outside law firms. Proven experience working with a diverse management team. Proven multi-tasking skills. Proven verbal and written communication skills. A high degree of responsibility and autonomy. Excellent analytical, problem-solving, negotiation, drafting and communication skills. Ability to confidently interact with colleagues and adversaries and to translate difficult legal principles into practical business solutions. Quick learner and the ability to work independently and prioritize multiple time-sensitive tasks. Highest levels of integrity, discretion and maturity. Detail oriented with the ability to multitask. Business travel as required.
