VP, Assistant General Counsel - Employee Benefits and Executive Compensation Attorney
Duties: Providing legal counsel and strategic advice on the Company’s employee health and welfare plans, qualified plans, investment management, and ERISA-related matters. Assist in both the design and administration of qualified plans and health and welfare plans, as well as advise the pension investment group in the Chief Investment Office, and Human Resources. Involved in 409A and benefits-related tax issues, and provided support for corporate transactions and benefits litigation. interact closely with design and administrative teams, and functional partners for the qualified retirement plans, health and welfare benefit plans, related wellness strategies, non-ERISA fringe benefit plans, and executive, deferred, and equity compensation plans. Support human resources and investment management professionals on ERISA fiduciary and pension investment issues, independently or in conjunction with other members of the Human Resources Law Team or other legal colleagues.

Qualification and Experience

Qualifications: JD degree. All relevant licensing requirements. Licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction. 5+ years of post-JD recent, relevant and broad investment management/ERISA employee benefits experience. Desired Subject Matter Expertise: Laws related to health and welfare plans, including ERISA, IRC, Affordable Care Act, COBRA, Mental Health Parity, HIPAA, Genetic Information Non-discrimination Act, Americans With Disabilities Act, and related claims and appeal processes. Laws related to qualified plan investments, including prohibited transaction rules, fiduciary obligations, and Regulation W. Laws related to the operation and administration of qualified retirement plans, including IRS, ERISA, and PBGC requirements. Investment-related litigation, class actions, and tax matters. Executive Compensation, including 409A, top hat plans, and equity compensation. Corporate governance matters related to majority-owned investment vehicles. Preparation of Forms 5500 and supporting retirement plan financial reports. Company-owned life insurance, including IRS requirements. Government audits and investigations of qualified plans. Analyzing legal problems fully and conducting thorough legal research. Considering legal and reputational risk as well as operational considerations for a large plan and employer, and providing clear advice to clients. Managing and prioritizing workload efficiently without excessive supervision. Interacting and communicating clearly with human resources and investment professionals, government representatives, colleagues, and internal clients at all levels. Demonstrating investment contract drafting skills, ability to draft templates, standard operating procedures, and controls for internal clients. Includes: Investment manager agreements, limited partnership agreements, subscription agreements, amendments, consents, etc. Supervises outside counsel on benefits litigation matters effectively and efficiently.
