General Counsel The candidate will be leading corporate strategic and tactical legal initiatives. Will be providing senior management and internal business clients with effective legal advice on company strategies and their implementation, implementing appropriate corporate governance measures throughout the parent company and its subsidiaries, managing the legal function, acting as the Chief Compliance Officer, obtaining and overseeing the work of outside counsel, and Information Technology department. Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Advise, as needed, on business agreements and contracts. Judge the merits of litigation filed against or on behalf of the company, work with the appropriate executive(s) to define strategic defense and approve settlements of disputes where warranted. Take necessary measures to ensure that the Corporation conducts its business in compliance with applicable laws and regulations and work with the appropriate regulatory agencies in conducting that accountability. Act as the Corporation’s Chief Compliance Officer, as well as Privacy and Security Officer. Manage the legal function. Select, retain, manage and evaluate external counsel. Lead the risk management function; identify risks and develop strategies for preventing and minimizing the impact of losses. Create and engage leadership to identify, analyze and mitigate risks and further develop risk policies and procedures. Manage the property/casualty insurance programs; negotiate scope and limits of coverage and deductibles. Coordinate, direct and monitor loss prevention programs. Oversee the IT function for the parent company, including information governance practices and security measures. Accountable for overseeing contract compliance and implementing best practices for this function. Provide advice on all legal aspects of the Corporation’s financing including assessing and advising on current and future business structures and legal entities. Advise and implement best practices in corporate governance for the Board of Directors and subsidiary entities.
Qualification and Experience
The candidate should have a Juris Doctorate degree from an accredited law school and member in good standing of the Alaska State Bar. Must have 7+ years of progressively experience working as an attorney directly with areas relating to the duties and responsibilities relevant to this position. In-house counsel experience preferred. Preference for work experience with a national legal firm and experience with Alaska Native Corporations is essential. Experience with unique Native Corporation issues including lands, shareholder estates, corporate governance, and the regulatory scheme governing Native Corporations needed. Practical experience working closely with information technology department and implementing information governance protocols, including privacy and information security measures essential. Experience managing legal department budgets and administrative matters needed. Microsoft Office proficiency essential.
