Corporate - Contract Law
Min 7 yrs required
Paralegal Responsibilities: Supporting the commercial-transactions lifecycle, including maintaining templates, tracking deal progress, coordinating approvals and signatures, maintaining databases of signed agreements, tracking key dates. Assisting with agreements under negotiation, such as NDAs, inbound OEM and manufacturing agreements, vendor agreements, distribution agreements, leases, employment agreements, settlements. Managing entity formation and maintenance, including international subsidiaries. Keeping minute books. Maintenance of stock plans; blue-sky compliance. Assisting with compliance policy and process, e.g., relating to data privacy and security, import and export, FCPA/bribery law. Assisting with data-privacy impact assessments. Vendor and distributor screening and onboarding. Screening transactions against denied-party lists for export compliance. Assisting with legal process, such as subpoenas. Working closely with and managing external counsel globally. Learning our business, which guides our decision-making. Other duties and projects as assigned.
Qualification and Experience
Qualifications: BA or BS degree. A certificate from an ABA-approved paralegal-education program is a plus, but less important than experience. 7+ years of experience in a related role. A combination of law-firm and in-house experience is a plus. Tech industry experience is preferred. Must be strongly detail-oriented, operate with focus and urgency, and get things done. Able to deliver in a fast-paced environment. Effective cross-functionally in supporting internal clients across the organization; able to present information and options clearly and concisely, avoiding legal jargon. Project management and process improvement experience are pluses. Compliance knowledge is a plus, especially in privacy law and export law. Proactive; able to take ownership and manage projects with minimal direction. Ability to work in an open office environment full time, or remotely full time, as requested. Ability to work from 8AM to 5PM on weekdays with some evening or weekend work.
