Associate Counsel, Transactions The candidate will be drafting, negotiating and managing a high volume and wide variety of contracts, including confidentiality, material transfer, master service, research, license, collaboration, university, government, consulting, and clinical trial agreements. Providing practical legal advice and support directly to business development and scientific teams during contract preparation and negotiation with respect to relevant contractual provisions. Implementing improvements to contract templates and the contract management processes. Establishing and managing a contracts database. Training and guiding business teams on the use of contract templates, relevant legal issues, and good contracting practices. Supporting alliance management activities and governance of programs. Supporting government grants and related compliance efforts. Shaping policies and procedures of the company and its affiliates. Must have Juris Doctorate degree and admitted to practice in Massachusetts. Should have 3+ years in-house and/or law firm experience with drafting, reviewing and negotiating a wide variety of contracts, preferably for a life sciences company. Strong working knowledge of intellectual property law and licensing is strongly preferred. Experience with clinical trial agreements, material transfer agreements, sponsored research agreements, and government contracts is desired. Strong customer/client service mindset with a high degree of responsiveness and exceptional communication skills is helpful.
