Corporate Counsel - Commercial Contracts RESPONSIBILITIES: Work with our Procurement and OE Sales teams to negotiate a variety of commercial contracts (e.g. purchasing and sales agreements, services agreements, leases, NDAs, and software licenses) and requires: experience in formulating effective negotiating strategies, a demonstrated ability to be proactive, exercising independent judgement and manage multiple projects simultaneously. Will bring a creative approach to problem-solving and the ability to build strong relationships with internal clients. Will be a valued member of the corporate Legal team where we strive to promote from within wherever possible; therefore, opportunities for advancement are strong. Provide legal advice relating to contracts (including negotiation and guidance on termination and transition rights, enforcement and disputes), supplier negotiations, customer negotiations, strategies, supplier and customer disputes (including distressed supplier issues), supplier quality matters and contract risk mitigation. Draft and negotiate commercial contracts with customers, suppliers, and service providers including but not limited to supply agreements, services agreements, license agreements and confidentiality agreements. Identify and advise on legal and business risk associated with business opportunities, including compliance with applicable laws and regulations. Partner with cross-functional legal and business experts to identify, evaluate and address complex legal matters. Work with business partners to create, maintain and ensure compliance with corporate policies and procedures. Provide training to internal business partners on a variety of legal topics. Collaborate with external counsel and actively manage those relationships on an as needed.

Qualification and Experience

REQUIREMENTS: JD from a top-tier law school with excellent academic credentials. 4+ years of legal experience in relevant areas, including, contracts and business transactions with a mid- to large-size law firm or combination of practice with such a firm and in-house experience. Current membership in any state bar, with a willingness to become licensed to practice in Michigan as needed. Professional experience in manufacturing is a plus, but candidates from other industries will be considered. Strong interpersonal skills, including the ability to establish effective working relationships with senior management. Excellent oral and written communication skills. Strategic thinker with focus on practical client advice and the ability to advise on legal risks within a business context. Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure. Commitment to professionalism and collegiality are required. Collaborate with external counsel and actively manage those relationships as needed.
