Corporate Counsel, Commercial The candidate will independently draft, review, negotiate and approve commercial contracts to support firmâ€™s North America Commercial Operations organization. Support senior level attorneys in providing general legal advice and strategy to the commercial organization on a wide range of legal matters, including product distribution, reimbursement, price reporting, labeling, etc. Provide ongoing assistance with training/monitoring of commercial organization compliance with firm policies and procedures, including contract and insider trading policies. Timely track and monitor all aspects of the contracting process through firmâ€™s contract management system. Liaise with internal clients and respond to inquiries regarding contracts and other matters, as assigned. Learn and contribute to the ongoing development of the Legal Department â€œplaybookâ€ for contract negotiations. Provide support for other Legal Department projects, including legal research and drafting of research memoranda on various issues as requested senior attorneys in the department. Appropriately manage a heavy workflow, setting priorities with internal clients and meeting deliverable timelines. Should have 3-4 years of prior experience in a major law firm, demonstrating growth and ability to succeed. Experience drafting, reviewing and negotiating a wide variety of commercial agreements required. JD degree required from a nationally recognized law school. Current California bar membership or In-House Counsel Certification required.
