Compliance Attorney The candidate will report to and collaborate with the Chief Administrative Officer and General Counsel. Will provide counsel and legal leadership to business management on export, import and trade compliance matters and help strategize the growth and enhancements required to best meet the needs of this growing global business. Provide hands-on counsel on a broad range of US, EU and other international export, import, trade law compliance and internal/government compliance matters. Enhance company compliance by developing and implementing key global policies, procedures, controls, communications strategies and employee training. Help strategize business-unit growth to meet the compliance needs of company's global operations. Deal with diverse constituencies and external parties (board members, investors, other stakeholders, regulators, external counsel, politicians, customers & clients, and other business leaders). Work with colleagues in other business functions to identify and implement compliance enhancement opportunities. Help train and supervise other colleagues who are assisting with compliance and enforcement related activities. Supervise outside counsel as necessary. Create associations of trust and respect with key stakeholders. From time to time, assist with corporate transactional or commercial business law matters in the Legal department. Provide expert and strategic legal advice to the enterprise, and exercise judgment at a high level. Draft Technical Assistance Agreements, Technology Transfer Control Plans and other ITAR- and EAR-related documents. On a frequent basis, review and approve proposed company communications of technical information with customers, vendors, investors and other outside parties to ensure compliance with ITAR and other export regulations. Draft and oversee internal governance policies and manage the impact of external factors. If needed, lead international investigations and audits, negotiate resolutions with appropriate federal agencies in instances of non-compliance. Prepare required summaries and work with various business units to resolve compliance matters, preparing where necessary needed government filings. Deal with complex, significant and challenging matters that cut across legal, business and technical areas. Evaluate and weigh multiple inputs and impacts of any decision or course of action. Anticipate issues and strategically assess risks (legal, regulatory, security, reputational), and identify proactive solutions that will eliminate or mitigate risks. Develop, direct, motivate and drive performance from the compliance team - both internal colleagues and outside counsel. Keep abreast of legislative changes.
Qualification and Experience
The candidate should be a degreed and licensed attorney, with good academic credentials. Must have 7-10 years of legal experience focusing on trade law, export, import controls compliance and related investigations matters. Should have a strong background and experience in space-related U.S. trade sanctions, compliance implementation, and related investigations (EAR, ITAR, OFAC). Facility with ITAR, EAR, CFIUS, OFAC, FCPA and other regulations pertaining to international trade is most important. Experience working with US government agencies responsible for the review of trade law compliance, including the Department of State, the Department of Commerce, the Department of Homeland Security and the Defense Technology Security Administration is needed. Should have ability to travel, particularly to Washington D.C. Travel is predictable in nature and estimated at about 50%.
