VP Associate General Counsel Duties: Manage a team of direct and indirect reports within the Legal Departmentâ€™s litigation, technology and data privacy functions. Manage global litigation and dispute resolution, and work with outside auditors and internal audit and disclosure committees regarding disclosure of contingent liabilities, establishment of reserves, and other disclosures required by FASB and other regulations. Actively develop litigation strategy, manage matters through their lifecycle, and resolve disputed matters. Supervise, manage and partner with outside counsel on matters set for trial, mediation or arbitration. Work closely with internal business partners in assessing legal risk and exposure and in avoiding litigation. Update, create and implement processes and systems to manage all aspects of global litigation docket, from intake through resolution, and train personnel regarding same, driving culture of compliance and collaboration. Lead internal and external investigations in collaboration with other internal constituencies (e.g., Compliance, Internal Audit, IT Risk & Security) and outside counsel, as appropriate. Serve as lead Legal representative during cybersecurity investigations. Develop attorney-directed remediation and risk mitigation procedures in the event of cyber or other security related incidents. Update processes for tracking matters and expenses and produce timely status reports to General Counsel, Executive Committee and Board of Directors, as appropriate. Work with the General Counsel to establish strategy and process for selection and management of outside counsel and budgeting of outside counsel fees. Develop budgets for assigned areas and efficiently use legal department resources.
Qualification and Experience
Requirements: JD Degree and law license in good standing from top school (and top 25% ranking) typically required. 12-15+ years, of experience. Experienced in: commercial litigation, preferably with complex, multi-party litigation, including trial work, arbitration, mediation and investigations; cybersecurity and privacy compliance, regulations and investigations; intellectual property and trade secrets; systems and processes to manage diverse and complex litigation matters; issues impacting a publicly-traded company, including corporate governance and compliance with applicable regulations; management of other attorneys and professionals. Excellent academic and law firm credentials. Experience in a dynamic in-house environment preferred. Ability to handle high volume or work in fast-paced environment and prioritize among competing deadlines. Excellent verbal and written communication skills, and ability to be responsive and accessible to internal clients. Experience supporting multi-functional client teams, including commercial and business development, product & technology, procurement, finance, and risk & security. An innovative approach to legal issues in support of strategic business initiatives and objectives. Strong leadership and managerial skills, and ability to interact with senior management, executives, Board members, outside counsel, and personnel at all levels of organization.
