Senior Counsel The candidate's essential functions: Oversight and management of the legal teams in the execution of their day to day duties; Maintain compliance with SEC and Nasdaq rules, and manage all areas of the Company’s corporate governance; Establish and maintain contractual relations with external parties; Manage the Company’s litigation and conflict resolution activities; Draft, review and negotiate a number of agreements, including customer software subscription and licensing agreements, technology partnership agreements, employment agreements, consulting agreements, vendor contracts, non-disclosure agreements and various other contracts in connection with the company’s activities; Evaluate and monitor international employment laws and worker classification issues through research and/or consultation with outside counsel to ensure compliance with local country laws; Legal review of marketing materials, website content and new product features; Compliance with security and data privacy requirements; Protection of IP rights. Oversee patent application and trademark registration process; General corporate matters and transactional due diligence support; Oversight responsibility for the corporate records of the Company; Anticipate and identify legal issues and develop legal strategies and solutions as appropriate; Analyze a broad range of laws and regulations affecting the Company; Manage relationships with the outside counsel.

Qualification and Experience

The candidate should have JD degree from major law school or equivalent experience. Bar admission. Should have 5+ years at major law firm required, 5 years in-house public company experience. Experience in software/IP, securities law, corporate governance and contracts. Excellent verbal and written communication and negotiation skills. Excellent analytical, writing and problem solving skills. Flexibility and willingness to work on a broad variety of legal matters.
