Transactional Associate
Duties: Work closely transactional teams. Working collaboratively, often across offices, transactional team focuses on corporate transactions and financings, commercial agreements, and other transactions relevant to the telecommunications, media, energy, and technology industries, as well as emerging company and general corporate representation. May work on commercial agreements for Fortune 50/100 companies, private equity-backed joint ventures for FCC auctions, development and acquisition of telecommunications infrastructure or electric generating facilities, power purchase and other energy agreements, radio and television station sales, wireless spectrum leases, and venture capital financings and acquisitions for emerging companies. Work closely with regulatory colleagues to structure telecommunications, media, and energy deals.

Qualification and Experience

Qualifications: 5-8 years of experience working on sophisticated and creative corporate and commercial transactions, especially in the rapidly evolving telecommunications, media, energy, and technology fields, and who are ready to assume an active role leading such matters. Particularly valuable experience includes private equity and venture capital finance, infrastructure project development and finance, and M&A. Additional relevant experience could include telecommunications and energy regulation, technology transactions, real-estate transactions, tax, debt financing, and/or environmental law. Should have broad transactional experience and should understand how differences in client business goals and appetite for risk impact the complexity, dynamics, and tenor of a transaction. Must be highly client-facing; the ideal candidate will demonstrate strong communication skills and responsiveness to clients and colleagues. Will be familiar with a variety of deal structures and private company governance, including use of pass-through entities, and will have some facility with commercial transactions.
