Senior Legal Counsel-Investment Advisor The candidate provides guidance and support to the II business unit on all aspects of investment advice to retail investors. The advice may include direct or digital advice. This position will support additional launches and maintenance of digital advice platforms and tools (e.g., online advice services as well as various tools designed for goal planning). Will responsible for drafting and advising on the firmâ€™s regulatory filings, including Form ADV for the retail adviser. Provide advice and guidance to II business unit and compliance department regarding investment advisory policies and procedures. Advises senior business leaders on legal restrictions and potential legal risks in order to help guide the business on business decisions. Provides support for existing and new services provided by high net worth relationship managers within II and provides support for direct distribution of T. Rowe Price mutual funds. Directly responds to regulatory inquiries from agencies such as MSRB, SEC, and FINRA regarding compliance as well as questions about the firmâ€™s policies, procedures, and guidelines to ensure compliance with applicable laws, rules and regulations. Coordinates with regulatory agencies or other outside parties when issues arise and ensure filings are accurate and complete prior to submission. Reviews legal documents such as contracts, omnibus agreements, College Savings Plan disclosure documents, MSRB submissions/filings, underlying plan agreements, and internal compliance manuals and procedures to ensure consistent and legally sound practices are adhered to within each business unit. Reviews amendments to existing contracts/agreements that are consistent with both TRP and client standards. Collaborates on more complex documents including responses, objections, and other communications. Works directly with the business unit to resolve issues and errors. Works directly with select external clients to provide general legal support including; attending due diligence meetings, answering questions, conducts legal quarterly updates and overviews and collaborating on the creation of joint policies and procedures concerning the College Savings Plan business. General Legal Matters: Assist Senior Legal Counsel with various duties and/or projects, such as drafting comment letters to the SEC and other regulatory agencies, serve on trade association committees and various other sub-committees as needed, and attend related conferences.
Qualification and Experience
The candidate should have College degree. Admission to the MD State Bar or other state Bar is preferred. Should have Law degree from accredited School of Law and a member in good standing of a state Bar. Demonstrated experience as counsel in an investment adviser practice at a major law firm, securities regulator or financial institution is preferred. Excellent conflict management skills are essential. Previous experience working with state 529 college savings plans and related regulations and federal securities laws and regulation is preferred. Demonstrated experience as counsel in an investment adviser practice at a major law firm, securities regulator or financial institution and 8-15 years in practice area is preferred.
