Senior Legal Counsel
The candidate will provide legal support in connection with preparing responses to requests for proposals and other business development activities directed to the federal government. Provide legal support in connection with reviewing and negotiating contracts with the federal government and implementing and operating federal contracts. To the extent permitted, maintain relationships with Department of Defense (and other agency) legal staff to facilitate collaboration between the company and its customers. Provide legal support in connection with the defense of and the initiation of protests of federal contract awards. Provide legal oversight, direction and/or counsel for the company’s federal line of business on operational and customer issues (e.g., government billing and reimbursement requirement, privacy requirements, security clearances, small business subcontracting plans, conflict of interest plan, data ownership, FOIA requests, compliance systems and requirements). Provide ongoing advice and direction regarding compliance with laws governing federal contracts; investigate and interpret such laws as needed; work in collaboration with the company’s compliance department and compliance attorneys and staff to develop and maintain compliances systems and practices. Participate as legal advisor in meetings with company senior management regarding company strategy and business development. Review, develop, and negotiate teaming agreements with third party providers and vendors, including small businesses, to support the company’s federal contract opportunities and strategies. Other projects as assigned.

Qualification and Experience

The candidate should have a JD degree. Must be admitted to practice law in at least one state. 8+ years of experience in a law firm, corporate or government setting practicing in federal government contracting. 5+ years of legal experience in connection with U.S. military contracting and procurement. Detailed knowledge of the Federal Acquisition Regulation, Small Business Administration contracting qualifications and requirements, and other federal contracting policies and practices. Excellent written and verbal communications/advocacy skills, ability to work independently, ability to fashion practical business solutions to complex legal situations, negotiation skills. General knowledge of behavioral health and EAP services (or other health care experience), the federal health care contracting industry and regulatory environment. Must be able to operate general office equipment including but not limited to: computer, phones and related media and information devices on most or all workdays. Ability to communicate and interact with others, both in person and/or by telephone to conduct business. Working under time pressure. Working rapidly for long periods to meet deadlines. Must be able to travel as needed and adhere to company travel policies and procedures.
