A law firm in Charlotte, NC, is seeking a Structured Credit and Collateralized Loan Obligations (CLO) Associate Attorney with 2+ years of substantial experience in securitization and structured finance. Candidates with transactional experience and a strong interest in the CLO space will also be considered. The successful candidate will join the firm’s expanding and high-performing Global Finance group, bringing excellent academic credentials and a commitment to excellence in structured credit and CLOs.

Key Responsibilities:

  • Advise clients on structured finance transactions, including the structuring, negotiation, and execution of Collateralized Loan Obligations (CLOs).
  • Draft, review, and negotiate complex legal documents related to CLOs, securitizations, and other structured credit products.
  • Provide legal counsel on fund finance transactions, including NAV-based facilities and subscription line credit facilities.
  • Collaborate with cross-functional teams, including tax, regulatory, and compliance experts, to ensure thorough and effective transaction execution.
  • Manage multiple transactions and projects simultaneously, ensuring timely and accurate completion of deliverables.
  • Monitor and interpret market trends, regulatory changes, and legal developments affecting structured credit and CLO markets.
  • Develop and maintain strong relationships with clients, providing strategic advice and ongoing legal support throughout transaction processes.

Requirements:

  • 2+ years of experience in securitization and structured finance, or relevant transactional experience with a keen interest in CLOs.
  • Prior experience with private credit, CLOs, fund finance, NAV-based facilities, or subscription line credit facilities is preferred.
  • Proven ability to draft and negotiate complex legal agreements with precision and attention to detail.
  • Strong analytical and problem-solving skills, with the capability to handle complex transactions.
  • Excellent written and oral communication skills, with the ability to clearly articulate complex legal issues.
  • Exceptional organizational skills and the ability to manage multiple priorities effectively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials.

Skills and Abilities:

  • Expertise in drafting and negotiating structured finance documents and agreements.
  • High attention to detail and accuracy in legal document preparation and review.
  • Proficiency in legal research and analysis related to structured credit and CLOs.
  • Strong interpersonal communication skills for effective client interaction and collaboration.

Certifications:

  • Active membership in the North Carolina Bar or eligibility for admission.
