ProfileParalegal and Contract Administrator The candidate will provide support in Corporate Legal Department with a variety of legal duties, including contract database entry and administration, corporate board meeting functions and governance, administration of its IP portfolio (inclusive of trademarks and patents), as well as other transactional and administrative matters. Will be interfacing with various departments including Finance, Sales and Operations and outside counsel and auditors so excellent interpersonal skills are important. Drafting, proofreading and initial review of routine contracts and a variety of other legal documents under the supervision of the General Counsel. Work with various internal departments and external customers in response to timely requests for review, information and/or assistance related to contractual matters. Conduct administrative duties required for board and committee meetings, such as: drafting minutes and resolutions; board presentations; agenda preparation; scheduling and calendaring meetings; and other required preparation. Help establish foreign subsidiaries and manage its annual compliance requirements, such as updating its corporation status, registered agent and statement of information filings. Maintain corporate contract database using the ContractLogix and board minute books for headquarters and all subsidiaries. Track, monitor and renew corporate owned trademarks worldwide. Collaborate with the Director of Patents, the patent team and outside counsel to timely file new patent applications and respond to office actions as received from the USPTO. Assist with litigation and/or mergers and acquisition projects as necessary, including, due diligence; document preservation; collection; review; copying; scanning; production; tracking; logging of all materials; review of preliminary drafts of pleadings and discovery; and providing internal feedback and recommendations. Coordinate with the finance department and external auditors on responding to quarterly and annual audit and compliance requests, including proxy, SEC and SOX. Perform administrative and clerical duties in support of the General Counsel and 2 attorneys of the legal department on an as needed basis, including, but not limited to, gathering appropriate approvals and signatures on contracts; maintenance of current and accurate corporate legal files (whether in electronic or paper format); composing business correspondence; filing.
Qualification and Experience
The candidate must have either a BA/BS or AA with related course work towards Paralegal Certification. Should have 3-5 years of administrative experience in a corporate legal department or a law firm. Prior experience with a publicly traded company is preferred. Excellent verbal and written communication and organizational skills with computer fluency in Microsoft Office including Word, Excel, Outlook, PowerPoint, etc is needed.
