Deputy General Counsel The candidate acts as legal representative of the Bank. Plans, organizes and directs the legal resources and support services for the Bank. Interprets pertinent laws and regulations and drafts legal documents. Coordinates the relationship between bank personnel and outside counsel, federal regulators, and HEI companies. Supervises and advises a Legal Team of Associate Counsel attorneys and a paralegal. Manages the legal affairs of the Bank which include interpreting laws and regulations, drafting documents, and providing legal advice on business decisions related to the Bank, its subsidiaries, shareholders, and affiliates. Coordinates relationship between bank personnel and outside counsel, federal regulators, and Hawaiian Electric Industries (HEI) companies. Provides guidance in the implementation of procedures necessary to comply with new and existing laws. Coordinates matters among the Legal Department, other departments, and outside counsel. Selects outside counsel. Develops the departmental budget and oversees services from outside counsel. Assists Management and HEI in non-legal matters as necessary to mitigate risk of loss to the Bank. Serves as primary contact with federal bank examiners. Manages the Legal Team by providing supervision and advice to Associate Counsel attorneys and Paralegal.

Qualification and Experience

The candidate should have College (4-year) Degree. Juris Doctor degree is required, 5 years of experience in the active practice of law, sufficient to demonstrate a proficiency in analyzing legal issues and providing sound legal advice and practice legal solutions is needed. Should have thorough and technical understanding and familiarity with banking and finance law, real property law, debtor and creditor law, and corporation law. A working understanding of litigation and case management, employment law, tax law, and insurance law is required. Must be able to investigate and evaluate legal issues affecting the Bank, while understanding its goals and operations in order to provide sound legal advice to the Bank. Prior supervisory experience to manage the Legal Team is required.
