Counsel Duties: Drafting, reviewing, and revising transactional documents. Advising client on securities law-related issues and assisting in filing required reports. Reviewing cases and processes for compliance and as needed to prepare inquiry responses. Drafting and reviewing correspondence, research memos, agreements, and project updates. Assessing and reviewing the legality and appropriateness of processes, documents (including contracts), and possibly the work of others. Assisting with the research for and implementation of compliance/legal projects. Returning phone calls and following up on requests/inquiries. Researching and consulting on issues related to federal, state, and local law; Advising clients on employment-related matters. Leading the development and implementation of legal and risk management initiatives that support the bank’s mission, vision, strategic objectives and core values. Rendering opinions on certain legal matters and perform other legal services as assigned by the General Counsel. Monitoring compliance with all laws affecting the bank and its operations. Developing and approving forms, contracts and other documents necessary for the bank’s business. Providing legal input in the formulation and enhancement of policies and procedures. Overseeing legal services provided by external counsel. Assisting the General Counsel in matters relating to corporate governance.
Qualification and Experience
QUALIFICATIONS: A Law Degree from an accredited law school; membership in a state Bar in good standing; and either (i) membership in the State Bar of Montana, or (ii) eligibility to become a member of the State Bar of Montana, are required. 3+ years of experience practicing law, either in a corporate law department or in private practice is required. Experience working with or representing financial institutions, and/or experience interacting with federal or state regulatory agencies, is preferred. Ability to read, analyze, and interpret the most complex documents. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to write speeches and articles using original or innovative techniques or style. Ability to make effective and persuasive speeches and presentations on controversial or complex topics to top management, public groups, and/or boards of directors. Able to demonstrate: Communicate clearly and concisely both orally and in writing; Communicate effectively with colleagues and clients notwithstanding differences in personality and temperament; Think clearly and logically, with a focus on finding solutions to assist the client achieve its business objectives; Remain calm and logical in stressful or challenging circumstances; Exhibit sound judgment; Adapt to constant change; Take initiative to keep current in skills and knowledge; and Identifies problems and develop business-friendly solutions.
