Senior Corporate Counsel The candidate will work across the business, with a particular focus on partnering with Corporate Finance, Product and Business teams, to provide strategic, business-oriented legal guidance on a wide variety of issues. Will build and scale legal support for financing, commercial deals and product development. Counsel the executive team and Board of Directors on a range of compliance, risk management, and corporate governance matters to help the company stay ahead of the game. Review and negotiate a wide range of vendor contracts, technology agreements, licenses and partnership agreements. Work with corporate finance team to evaluate options. Work with marketing team to review advertising campaign agreements to make sure they are compliant. Counsel on privacy, data protection, and compliance issues. Manage risk management and advise the Executive Team on risk management strategies to be implemented. Work with global legal counsel to make sure we are compliant with other global regulations.
Qualification and Experience
The candidate should have a J.D. degree, be admitted to the California Bar, and have an excellent academic record. Must have 5-7 years of legal experience with an emphasis on reviewing and negotiating software and technology licensing agreements. Should have experience advising product development, business development, marketing and operational teams on legal matters, including contracts, privacy, data security and intellectual property. Experience working at a top law firm is preferred. Experience working with consumer-oriented companies is an asset. Should preferably have led the legal team for a large financing or IPO. Experience with corporate governance and securities regulations is required.
