A reputable law firm is seeking a Mid-level Corporate Associate Attorney to join its Pittsburgh, PA office. The ideal candidate will have 3-5 years of experience in corporate law and the ability to handle significant client interactions independently. This role involves advising clients on various corporate matters, including governance, securities offerings, venture capital, private equity transactions, and complex mergers and acquisitions.

Duties

• Conduct legal research and analysis related to corporate transactions.
• Perform due diligence for corporate deals.
• Draft and negotiate transaction documents such as shareholder agreements, stock purchase agreements, and merger agreements.
• Facilitate entity formation and advise on corporate governance and disclosure matters.
• Coordinate document execution and ensure compliance with applicable laws and regulations.
• Draft legal opinions related to corporate transactions and client advisories.

Requirements

• 3-5 years of experience in corporate law, including experience with securities offerings, venture capital, private equity, commercial lending, and M&A transactions.
• Knowledge of tax and deal structuring is a plus.
• Strong academic and professional credentials.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in Pennsylvania.

Skills

• Proficient in Microsoft Office Suite, particularly Microsoft Word.
• Strong legal research and writing skills, with familiarity in tools such as WestLaw.
• Excellent writing, research, negotiation, and communication skills.
