Manager, Counsel
Responsibilities: Negotiate, draft and review high volume of contracts including service, marketing/PR, media, influencer, licensing, consulting and other business agreements. Advise on promotional, marketing and advertising matters, including review of material for compliance with all applicable laws and requirements. Provide advice and counsel regarding copyright, trademark, patents, right of publicity and domain name issues. Conduct legal research, analysis and benchmarking as needed. Assist with developing and implementing new processes, policies and training as needed, based on legal and regulatory requirements, industry standards and best practices. Use the Company’s contract management system and help drive use of system with the Law Department and other teams, assist with reporting and look for opportunities to make the system and contract process more efficient. Use sound judgment in balancing legal risk against business needs and goals. Provide strategic, creative and effective legal and business advice. Ensure agreements are concluded efficiently and meet the Company’s and its brands’ specifications and needs and conform to appropriate industry standards. Perform legal research on various issues of U.S. and international contract, trademark, patent and copyright. Monitor changes in applicable laws and communicate with relevant business people to keep them abreast of developments.

Qualification and Experience

Qualifications: JD Degree. Admission and member in good standing of the Bar of New York. 2–5 years’ experience, including in intellectual property law, contracts and/or related course work. Sound judgment and ability to assess issues and legal and business risk.
Outstanding: Strong business acumen and responsive, service-oriented attitude. Ability to manage multiple projects and deliverables, prioritize work, multi-task and respond to shifting priorities. Proven ability to take “ownership” of projects.
