Corporate Paralegal M&A The candidate will handle preparation of and assistance with preparation of public filings (including registration statements and periodic reports) with the SEC. Support for acquisitions and sales of businesses and other corporate transactions for all of the Cantor companies. Including Cantor Fitzgerald, Newmark, BGC, and other ventures. Communicating with officers and directors both verbally and in writing on a variety of matters; maintaining public company minute books. Preparation of various reports, that will be distributed among regulators and general counsel. Maintaining date, and room review/population. Conducting due diligence, and preparing responses in connection with third party due diligence requests. Communicating with state securities regulators. Position will also include some corporate paralegal responsibilities including: Non-disclosure agreements. Assisting with forming new legal entities. Drafting minutes and maintaining minute books. Maintaining corporate records including corporate officers and organizational charts. Real estate transactions, including the acquisition and disposition of real estate assets. Some development and maintenance of our legal file system including scanning documents into document retention system. Should have Paralegal Certification and/or Bachelor’s degree; strong communication skills and computer proficiency (MS Word and Excel). Previous in-house corporate experience and/or real estate industry experience is preferred and experience with SEC filings is required.
