Associate Attorney The candidate will review and draft contracts, including physician service contracts, vendor contracts, leases, contracts with affiliates and service partners and other agreements. Prepares redlined drafts of contracts and written correspondence pursuant to industry standards and other standards of the Legal Department. Independently handle routine issues such as amendments, renewals, and use of template agreements. Collaborates with the other attorneys in the legal department to prepare more complex contracts but is primarily responsible for preliminary drafting and helping to research issues related to contracts and contract drafting. Maintains knowledge of federal and state laws and regulations and helps to determine their impact on the systems contract operations and strategic initiatives. Keeps abreast of legal and regulatory activities which may influence the operations of the system and may impact contractual relationships. Responsible for processes to ensure consistent use of best practice terms and conditions; ensure proposed changes receive appropriate review and approval; encourage use of standard legal forms; standardize approval execution and archiving processes; and track and report key deadlines. Works with the global administrator of the systems electronic database for the retention of contracts. Evaluates reports and uploads of fully executed contracts for accuracy of inputs and key contract data fields. Oversees administrative privileges to ensure proper security and confidentiality of contracts. Collaborates with the systems vice president’s, directors, managers, and administrative personnel who are responsible for contracts in their areas. Attends meetings to learn about new and ongoing initiatives that require contracts. Responsible for asking questions, collaborating with key stakeholders to gather information necessary for contract review and drafting, and ensuring that the Legal Department is involved in initiatives that require contracts so that the same can be prepared and executed in a timely manner. Ensures that the electronic system for contract renewal reminders runs smoothly. Responds to questions, educates stakeholders, business partners and other personnel on contract process, issues and goals. Also performs legal research and other duties as required by General Counsel, with potential for growth and development. Must have Juris Doctorate Degree and a license to legal research practice law in Pennsylvania or New York preferred. Prefer experience in the health care field or corporate field.
