Deputy General Counsel The candidate will provide guidance and oversight to legal team members on a wide range of litigation and corporate transaction matters. Oversee a team responsible for a high volume of commercial litigation, including neutralization of pre-litigation disputes, litigating cases in-house from their inception to conclusion, and instructing and managing outside counsel with respect to the same. Negotiate and review related settlement agreements, contracts, and other legal instruments to protect interests. Provide legal research, counsel and support to non-legal managers and employees on various aspects of business. Support the Company's managers and employees in varying jurisdictions in addressing and responding to local issues that arise in connection with Homeowners Associations, redemption laws and similar and varying local topics, from their inception to conclusion. Review documentation for various transactional matters, including banking agreements, securitization of assets, and other financing transactions, and instructing and managing outside counsel with respect to the same. Prepare corporate formation and maintenance documentation, including operating agreements, bylaws, resolutions, and incumbency certificates. Communicate and negotiate directly with a variety of outside industry professionals, as well as government entities, to further and protect firm's business interests. Create business legal reports and correspondence, and effectively present information to senior management. Strong academic background, including J.D. from a top-tier law school is essential. Must have 6-8 years of experience at a law firm. Must be active member, in good standing, of the California Bar.
