Corporate Counsel (Transactional) The candidate will provide wide-ranging, timely day-to-day advice on acquisition matters and other corporate transactions as needed. Will interface with and supervise outside counsel on transactional matters. Provide other in-house legal services as needed, including credit agreements, real estate agreements, provider agreements, vendor agreements and other commercial contracts. Assist with securities related issues and ensure compliance with applicable securities laws. Conduct legal research as needed. Respond to day-to-day inquiries from internal stake-holders on a wide-range of legal subjects and consult with other in-house attorneys as needed. Work on special projects to support the work of the Legal Department and the needs of the Company. Work with a contract management system and develop meaningful reports and dashboards. Respond to multiple and changing priorities as part of the daily workflow. Provide timely turnaround on requests for legal review of contracts.
Qualification and Experience
The candidate should have JD degree from an accredited law school. Member in good standing of State Bar (Illinois preferred) is required. Must have 4 years of relevant experience at a medium or large law firm. Must have excellent drafting and negotiation skills. Must have excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Must have strong oral and written communication skills. Familiarity with federal and state healthcare laws is desired. Experience developing and refining contract processes, as well as developing templates to enhance standardization and systemization is desired. Significant experience drafting transactional documents and commercial contracts is desired.
