Corporate Secretary The candidate will be responsible for monitoring and maintaining the corporate governance activities of Premier, its subsidiaries and its affiliates. These activities include: managing board meetings (scheduling and agenda); drafting and maintaining board, committee and shareholder meeting minutes and the preparation of the material for such meetings; tracking and preparing annual reports and other necessary filings in various applicable jurisdictions; and other duties as assigned. Will also support and coordinate with the General Counsel and other counsel for Premier and its affiliates. Develop and implement procedures to drive the corporate governance processes for Premier, its subsidiaries, and its affiliates to ensure timely, accurate, and complete input of all of the activities of Premier, its subsidiaries, and its affiliates. Assist in the preparation of material in support of quarterly and ad hoc board and committee meetings, including agendas, board resolutions, financial updates and supporting material. Prepare for stockholders’ meetings, including agenda, solicitation of proxies, preparation of proxy ballot, and supporting material. Prepare filings with state authorities and multiple state jurisdictions. Maintain and organize the corporate books and records of Company, its subsidiaries, and affiliates. Coordinate with all offices to ensure on-site compliance with corporate book maintenance, where applicable. A Bachelor’s Degree in business or related field required. 5+ years of applicable required. Experience as a corporate secretary or in a corporate governance position required. Experience as a corporate secretary for a public company preferred. Experience preparing materials and setting agenda for board meetings and drafting/maintaining board, committee and shareholder meeting minutes required. Experience tracking and preparing annual reports and other necessary filings in various applicable jurisdictions required. Paralegal experience and/or certification preferred.
