Chief Executive Assistant/Paralegal
The candidate will handle formation of new entities, including corporations, limited liability companies, partnerships, in all states and corporate structure of same. Create organization documents, including articles or certificates of incorporation, amendment and dissolution, initial stock purchase agreements, stock certificates and stock ledgers, operating agreements, and written consents. Complete and file Forms SS-4 to obtain EINs, as well as complete and file Fictitious Business Name Statements with the appropriate government entities. Administer tracking system for periodic filings and other ongoing obligations. Contract drafting/development, maintenance, review, retention and termination. Assist in due diligence in regard to Mergers and Acquisitions and corporate refinancing/restructuring deals. Prepare final closing book and draft necessary documents in regard to Mergers and Acquisitions and corporate refinancing/restructuring deals. Participate in closings and post-closing activities, including: prepare initial draft of closing checklist, organize and maintain closing files, closing book index, written consents, approvals of transaction agreements, certificates and disclosure schedules; order certified copies and good standing certificates; handle distribution and collection of signature pages, agreements and original certificates (e.g. stock certificates, unit certificates and notes); and provide other general support. Research new licensing requirements and objectives for new or expanding opportunities. Respond to requests for information. Collaborate with other departments (e.g., Finance, Legal, Compliance, Human Resources, etc.) to obtain or provide information or to direct compliance issues to appropriate existing channels for investigation and resolution. Special projects as assigned. Responsible for managing an active calendar of appointments; completing expense reports; composing and preparing correspondence; arranging complex and detailed travel plans, itineraries and agendas and compiling documents for meetings. Plans, coordinates and ensures the CEO’s schedule is followed and respected. Provides “gatekeeper” and “gateway” role, creating win-win situations for direct access to the CEO’s time and office. Provides a bridge for smooth communication between the CEO’s office and internal departments; demonstrating leadership to maintain credibility, trust and support with senior management staff. Communicates directly and on behalf of the CEO with executive management, staff, and others. Researches, prioritizes, and follows up on incoming issues and concerns addressed to the CEO, including those of a sensitive or confidential nature; and, determines appropriate course of action, referral, or response. Works closely and effectively with the CEO to keep well informed of upcoming commitments and responsibilities, following up appropriately. Acts as a “barometer”, having a sense for the issues taking place in the environment and keeping the CEO updated. Provides leadership to build relationships crucial to the success of the organization and manages a variety of special projects for the CEO. Successfully completes critical aspects of deliverables with a hands-on approach, including drafting acknowledgment letters, personal correspondence, and other tasks that facilitate the CEO’s ability to effectively lead the company. Prioritizes conflicting needs; handles matters expeditiously, proactively, and follows-through on projects to successful completion, often within deadline pressures. Participates as an adjunct member of the Executive Team including assisting in scheduling meetings and attending all meetings. Assists in coordinating the agenda of senior management team meetings and off-sites, and all-staff meetings. Facilitates cross-divisional coordination of travel and outreach plans. Adheres to the policies and procedures of the Company. Maintains strict confidentiality of company, personnel, and member information. Adheres to company attendance standards. Performs other duties as assigned.

Qualification and Experience

The candidate must have Bachelor's Degree. Should have Paralegal Certificate from ABA-approved paralegal program. Must have 5 - 10 years of experience supporting C-Level Executives. Should have 2-5 years of relevant experience as a corporate paralegal. Experience in the areas of real estate acquisition, leasing, management and disposition preferred. Should have solid technology skills and knowledge of key software systems, particularly MS Office Suite (Microsoft Excel and Adobe Acrobat Pro DC).
