The role focuses on providing comprehensive legal counsel to issuers and financial institutions in capital markets transactions and advising publicly traded companies on securities compliance, corporate governance, and related matters. Duties

• Represent issuers and investment banks in both public and private securities offerings.
• Provide counsel to publicly traded companies regarding compliance with the Securities Exchange Act of 1934.
• Advise clients on exchange listing standards and corporate governance practices.
• Draft, review, and negotiate offering documents, registration statements, and related filings.
• Assist with mergers, acquisitions, and other corporate transactions requiring securities compliance.
• Conduct research and provide legal guidance on complex securities issues.
• Maintain strong communication and relationships with clients, regulators, and internal teams.

Requirements

• A minimum of 4–7 years of experience in securities and capital markets law.
• Demonstrated expertise in public and private securities offerings.
• Knowledge of corporate governance and regulatory compliance for publicly traded entities.
• Proven ability to handle high-level transactions in a fast-paced legal setting.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Admission to the New York State Bar (in good standing).
