Assistant General Counsel
The candidate will be responsible for providing legal advice and counsel on development related real estate matters and contract negotiations. Duties will be focused on structuring, documenting and negotiating complex construction/development deals, including design and construction contracts, development agreements and development-related documentation, such as covenants, easements, licenses and leases, which will require coordination with the design and construction departments, as well as the risk management, claims management, and entitlement teams. Provides legal advice and counsel regarding construction/development matters. Partners with management in the structuring, documenting and negotiating of business terms and coordinates the process of completing contracts in a timely manner in accordance with the project's schedule. Coordinates document production exercises related to claims, diligence reviews and possible litigation. Advises the Executive Vice President and executives in other departments, relative to legal considerations inherent in a variety of development/construction matters in order to ensure that All Aboard Florida makes business decisions with full knowledge of applicable legal considerations and potential risks. Reviews and interprets legislation and regulations and becomes fully knowledgeable about statutes and regulations applicable to All Aboard Florida, including the company's capabilities and constraints. Works with management to identify risk on construction projects and implement risk mitigation plans. We are a new business model – agile and evolving. Qualification and Experience

The candidate should have BA/BS and JD Degree required from an accredited institution. Should have 7+ years’ experience in the practice of construction law in a full-service law firm or in-house legal department. Working knowledge of the construction process. Experience in the drafting and negotiation of design and construction contracts. Demonstrated experience in executing construction and development of commercial real estate transactions. Ability to draft and negotiate complex and diverse construction and development agreements, including EPC Contracts, Design/Build Contracts, GMP Contracts, construction management and development agreements, covenants, easements, leases, licenses, and purchase and sale agreements. Ability to respond to the business needs of both internal clients and external customers. Ability to advise management on risks related to proposed transactions as business issues are negotiated by team members. Ability to coordinate a team that will work to satisfy conditions precedent to the consummation of executed deals in a timely and efficient manner. Ability to review and advise management regarding claims or requests for change orders presented by contracting parties. Ability to coordinate claims with insurers or outside counsel when claims or disputes arise that require such coordination, including the document production process. Ability to coordinate with investors in the production of documentation related to a diligence review of projects undertaken by the company. Ability to think, plan, organize and implement strategically. Ability to communicate both orally and in writing in an efficient and analytical manner. Ability to draft memoranda setting forth legal advice and other documents relating to development/construction. Experience in providing, maintaining and updating form or template contracts for a department. Ability to manage multiple projects in a fast-paced environment with quick response time. Experience in the management of design and construction projects (i.e., the coordination of risk management issues, claims, disputes and arbitration/litigation) is preferred.
