Legal Counsel The candidate will handle legal work relating to all aspects of both US Government contracts and commercial transactions (including international opportunities). Will provide general support and report directly to Senior Counsel, as well as assist the Vice President, Chief Counsel and Deputy Chief Counsel and Senior Counsel in providing legal advice and representation involving all matters where the Electronic Systems, including its subsidiaries and affiliates is, or would be, a party. Under general direction and in support of Senior Counsel, function in a generalist role, with a primary focus on U.S. Government Contracts (including procurement, suspension and debarment issues, subcontracts in support of US Government prime contracts, associated offset agreements, and other issues) and commercial transactions (including international opportunities). Achieve business objectives while taking into account legal and regulatory considerations. Respond quickly and provide advice on a range of legal issues to executives and other employees. Conduct legal research and prepare written opinions based on that research. Guide the resolution of legal problems, examine various documents and data and provides counsel to the business on best courses of action. Assist internal contracts department with negotiation and preparation of contractual documents including, but not limited to, licenses, contracts, non-disclosure agreements and teaming agreements and support them with technical interpretations of governing laws and regulations. Advise supply chain management as they negotiate with subcontractors. Stay current on legislative issues, statutes, decisions, laws, regulations and ordinances. Participate in reviewing, interpreting and drafting various company policies and procedures. Analyze, prepare, and reviews various matters including contractual documents to ensure protection of Electronic Systems' interests. May consult with or refer matters to outside counsel as required, typically upon recommendation of Senior Counsel. Assist with analysis and advice regarding litigation and pre-litigation matters. In collaboration with Senior Counsel and Electronic Systems' Intellectual Property counsel, review and advise on Intellectual Property rights, software license rights and other intellectual property matters affecting product development, contract negotiation and other business issues. When directed, conduct internal investigations under the supervision of Senior Counsel. Assist in the preparation of various legal training courses. Accept other tasks as assigned by Senior Counsel, Chief Counsel, or Deputy Chief Counsel.
Qualification and Experience
The candidate should have a Bachelor's degree and 12 years of work experience or equivalent experience. Should have a J.D. degree along with strong undergraduate school credentials. Must have 5-10 years of legal experience in a law firm, in-house, or government setting. Should hold a license to practice law in at least one US jurisdiction, preferably NY, NH, VA or MA. Dedication to Electronic Systems' mission and serving the US military and its allies is required. Must have in depth knowledge of U.S. Government contracts issues, including FAR and DFARS. Experience with Government Protests is needed. Experience with intellectual property issues, including questions regarding trademarks, patents and patent licensing is preferred. Experience with commercial and open source software licensing and the ability to provide advice on the risks associated with its use is desired. Knowledge of foreign military sales contract issues is an asset. Knowledge of ITAR, EAR and U.S. export control laws is a plus.
