Attorney- Global Trade and Supply Chain Finance The candidate will provide legal support for Bank’s Global Trade and Supply Chain Finance business unit with respect to a broad range of trade products and services provided to multinational, large corporate and other commercial customers to help them meet their trade needs. Supports Global Trade and Supply Chain Finance Product, Sales, Operations and Contract Management teams, as well as their marketing and other partners, with a key focus on helping them achieve their business objectives with an appropriate risk/reward balance. Provide legal support for a host of trade products and services, including receivables finance generally and supply chain finance specifically, letters of credit and risk participation agreements, as well as for ecommerce initiatives and online channels, both in the U.S. and globally.. Work with regional trade counsel supporting products and initiatives in their respective regions and coordinate with outside counsel as required to manage global and regional matters, including conducting global and regional due diligence projects. Provide thorough, accurate, timely and practical legal advice with an appropriate risk/reward balance on all applicable issues, including with respect to deal execution, new product development, product support, operational matters and marketing communications. Facilitate product development and implementation by researching and providing advice on innovative trade technologies, such as Blockchain. Draft and negotiate contracts, working closely with Contract Management colleagues on contract issues. Provide legal support with respect to legal and regulatory issues. Participate in the resolution of troubled credits and disputed matters. Work with industry groups on new product initiatives. Partner with others in Legal, Risk and Compliance in order to ensure that issues are appropriately vetted and addressed. Escalate risk issues to the appropriate senior personnel, and advise clients when non-standard approvals need to be obtained before proceeding with an initiative.

Qualification and Experience

The candidate should have admission to at least one Bar (active/good standing). Must have 5+ years of law firm and/or internal counsel experience supporting the financial services industry, including experience with corporate finance, secured lending, securitization and/or trade finance specifically. Experience with receivables finance and supply chain finance, and UCC Articles 3 and 9 preferred. Strong negotiation and organizational skills required. Ability to communicate clearly, both verbally and in writing, at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons in the organization. Strong work ethic and self-initiative, with the ability to manage a high volume of work in a fast-paced and changing environment. Ability to effectively balance risk and reward and to be a strategic partner with clients to help them achieve their business objectives with an appropriate risk/reward balance. Strong interpersonal skills with the ability to work well as part of a team with other lawyers, clients, Risk, Compliance, Contract Management and other partners required. Aspects of letters of credit (issuing, confirming, advising and discounting), and ISP98, UCP600 and UCC Article 5. Negotiating and drafting risk participation agreements, cross border issues (conducting diligence and executing deals) especially helpful.
