ProfileCorporate Counsel The candidate will play a key role in supporting firm’s Latin American and U.S. Sales and Professional Services organizations in structuring commercial transactions and drafting and negotiating commercial agreements for our customers. Negotiate and draft master subscription agreements, professional services agreements and other types of agreements with customers in support of Latin American and U.S. Sales and Professional Services organizations. Partner with revenue recognition, sales operations, technology operations, and other stakeholder teams to ensure agreements are consistent with internal corporate policies and processes. Partner with Sales and other internal business constituents throughout the customer lifecycle to ensure customer success and protection of firm. Ensure negotiations are conducted in line with core values of trust a and transparency. Should have 8+ years combined experience in law firm and/or in-house legal department including experience negotiating and drafting technology license/Internet service agreements and professional services agreements. Must have Undergraduate degree and a law degree from highly regarded schools. Admission to the Bar in one or more states is required. Spoken and written fluency in English and Spanish and at least conversant in Portuguese is needed. Excellent written/verbal communication and negotiation skills is must. Familiarity with, or willingness to learn, technical concepts in Web applications is essential. Sound and practical business judgment is required. Substantive expertise in software as a service transactions is preferred. Substantive experience with CRM, platform and marketing services agreements is desired. Substantial experience in supporting sales departments as an internal client is a plus.
