A law firm seeks a skilled M&A attorney with over 7 years of experience to join its well-established private equity practice. This is an excellent opportunity for a senior associate or shareholder-level candidate with significant experience in mergers and acquisitions, particularly in private equity transactions. The firm is looking for an individual who thrives in a collaborative, team-oriented environment and is eager to contribute to high-level work with national and regional clients. The successful candidate will not be required to bring a portable book of business, though it will be considered a plus.

Duties

  • Lead and manage complex M&A transactions, particularly in private equity deals, from inception through completion.
  • Advise clients on legal strategies, structuring of transactions, and risk management.
  • Draft, review, and negotiate transaction documents, including purchase agreements, disclosure schedules, and related contracts.
  • Provide counsel to clients on regulatory compliance, antitrust issues, and corporate governance.
  • Supervise and mentor junior attorneys and legal staff.
  • Build and maintain relationships with key clients and stakeholders in the private equity and M&A space.
  • Collaborate with partners and practice group leaders on business development initiatives and new client acquisition.
  • Stay up-to-date on developments in M&A law and private equity trends to provide cutting-edge advice to clients.

Requirements

  • 7+ years of experience in Mergers & Acquisitions, with a focus on private equity.
  • Prior experience in a law firm setting, particularly in private practice.
  • Demonstrated expertise in structuring, negotiating, and closing M&A deals.
  • Strong interpersonal, analytical, and writing skills.
  • Proven ability to manage complex projects and communicate effectively with clients.
  • Interest in working within a collaborative, team-oriented environment.
  • Ability to foster relationships and develop new business opportunities.

Education

  • . from an ABA-accredited law school.
  • Strong academic credentials.

Certifications

  • Active attorney license in at least one . jurisdiction (preferably IA, MN, or WI).
  • Ability to be admitted to the Iowa, Minnesota, or Wisconsin bar promptly.

  • Expertise in mergers and acquisitions, particularly in the private equity sector.
  • Strong understanding of corporate law, including regulatory compliance and antitrust.
  • Excellent written and verbal communication skills.
