AVP - Counsel
The candidate will be responsible for drafts and negotiates development-related agreements, including with horizontal and vertical general contractors and trades, materials and equipment suppliers, architects, engineers, and other service providers. Administers development-related agreements, including summarizing agreements for the development team, tracking deadlines, and working with the development team as necessary to ensure the Company and its vendors meet their contractual obligations. Assists with the administration of the Company’s land banking, joint venture, and similar development relationships to ensure the Company’s compliance therewith. Oversees the assertion, defense, and settlement of claims and litigations relating to the Company’s development activities, including vendor disputes, mechanics’ lien disputes, personal injury claims, and property damage claims, with the assistance of local counsel as necessary. Tenders claims to insurance carriers, and tracks and administers insurance claims, as appropriate. Develops, reviews, and improves legal processes relating to the Company’s new home development activities, including processes with respect to lien waivers, draw payment processing, audit and accounting controls, vendor procurement, insurance requirements, and contract administration. Regularly advises and educates the development team on Company legal policies and processes. Tracks and administers general contractor licensure, including assistance with application processes, tracking renewal, disaffiliation, and qualifier replacement deadlines; drafts and tracks qualifier indemnity agreements, and oversees compliance with licensing regulations generally. Oversees compliance with prompt pay acts, retainage statutes, legally required contract provisions and disclosures, and other compliance matters.

Qualification and Experience

The candidate should have a Juris Doctorate Degree from an accredited law school. Active membership in good standing with the State Bar of California and/or Nevada. Minimum of five (5) years legal experience, which include substantial experience in the following areas: Construction Contracts; General Contractor Licensure and Regulations; Mechanics’ Lien Law; Construction Litigation. Ability to multi-task and meet demanding deadlines. Specific experience with residential development; development entitlement and permitting; land banking, development joint ventures, construction finance, and similar transactions, is preferred. In-house experience with a residential or commercial developer is preferred. Very good planning, organizing and project management skills with the ability to take ownership of and focus on critical initiatives. Exemplary verbal and written communication skills.
