Vice President, Senior Counsel Responsibilities: Manage and direct legal work on office leasing, including: Draft and negotiate office leases and other related documents (including letters of intent, RFPs, non-disclosure agreements, construction work letters, lease amendments, lease extensions, cancellation agreements, subleases, assignments, licenses, brokerage agreements) for private and government sector parties, to evidence transactions developed by the Company’s leasing agents, brokers and managers; Oversee and direct all stages and aspects of legal work on office leases for private and government sector tenants; Supervise and manage in-house counsel and paralegals working on office leases; provide effective and efficient management of outside counsel working on office leases; offer strategic and tactical direction during all phases of negotiation; and coordinate with office leasing teams on support from legal professionals in leasing efforts and systems; Develop and maintain standard office lease forms for the Company, and coordinate development and operation of systems in Legal Department to increase efficiency and accuracy in drafting work; Coordinate with in-house and outside counsel on lease-related disputes with office tenants, including rent and other lease defaults, tenant bankruptcies and lease administration matters; Provide timely, practical advice on issues relating to legal aspects of office leasing to a broad spectrum of the Company’s development, finance, leasing, property management, asset management, tax, lease administration and accounting departments; Advise business teams on specific legal issues related to office leasing; In coordination with other Legal Department attorneys, provide legal advice and review documentation on other Company contracts, such as property management agreements, special purpose agreements, purchase and sale agreements, and similar matters; Function in a fast paced, dynamic and collegial corporate culture.

Qualification and Experience

The candidate should have strong academic credentials and Juris Doctor degree. Should have 5-10 years with broad-based office leasing experience working at a law firm or in an in-house legal department; Strong management and supervisory skills as demonstrated by prior experience managing other attorneys or paralegals; Strong substantive knowledge of contract and real estate in general; General familiarity with other key areas of the law including litigation, finance, development, insurance, environmental and corporate; Demonstrated success working in a high-performing, business results-driven legal team and directly advising clients; Must possess strong interpersonal skills, the ability to communicate clearly and concisely, both orally and in writing, with project teams within the Company, as well as the ability to manage and supervise outside counsel; Strong organizational skills and attention to detail, with ability to manage and prioritize multiple legal initiatives.
