Paralegal - Transactions The candidate will reports to the Senior Corporate Counsel, and works closely with other members of the Corporate Transactions Team and other members of the OLA and the Division of Risk and Claims Management, as needed. Reviews and drafts various agreements and other documents to advise internal clients, including but not limited to, independent contractor agreements, purchase agreements, service agreements, supplies agreements, consignment agreements, clinical affiliation agreements, confidentiality agreements, and event agreements. Works with the Corporate Transactions Team to identify compliance issues in agreements. Negotiates various agreements directly with internal business teams and outside vendors as needed. Manages incoming requests for the legal review of corporate transactions on behalf of Rush and its affiliated entities. Assists the Senior Corporate Counsel and Assistant Secretary of the Board of Trustees with the maintenance of sound governance documentation on behalf of Rush and its affiliated entities. Supports the Senior Corporate Counsel and the Rush Affiliation Team, under the direction and supervision of the Senior Corporate Counsel, with due diligence efforts and the satisfaction of notice and consent requirements for corporate affiliation transactions. Supports the Senior Corporate Counsel and the Rush Capital Projects and Finance Teams, under the direction and supervision of the Senior Corporate Counsel, with the drafting of Certificate of Need and Certificate of Exemption applications, as needed. Prepares standard letters and reports. Gathers, organizes, summarizes, indexes, and maintains documents from various sources. Maintains a library of pre-approved form documents, contract clauses, templates, and historical documents, and adds or revises material, as needed. Performs general corporate transactional support for Rush and its affiliated entities.
Qualification and Experience
The candidate should have Bachelorâ€™s degree; a paralegal certificate or degree is required. 3+ years as a transactional paralegal is required. Familiarity with the health care industry and its unique issues is preferred. Proficient in Excel, Microsoft Word and Power Point required. Proficient in designing and producing high quality reports and presentations is essential. Must have strong critical thinking, problem analysis and problem solving skills.
